Taiwan Representative Office Registration Package #TWRO5 (For Companies Registered in Places other than Mainland China)
This package is suitable for residents of places or companies registered in places other than Mainland China that intend to apply to register a representative office in Taiwan.
Summary
Our fees for the formation and registration of a representative office in Taiwan for a foreign company are NTD52,000. The fees quoted include our professional registration service, acting the Local Agent for one year, the payment of official filing fees and open a corporate account in Taiwan for the new company. Our service fees quoted above do not cover document legalisation and registered office/business address. We provide the above two services and fees will be quoted separately.
For the purpose of registration of a company in Taiwan, the client needs to provide the proposed name of the company, the amount of registered capital, identity proof (passport or Certificate of Incorporation), address proof, such as utility bill or address of registered office, of each person who will be the shareholder and director and the Articles of Incorporation and Shareholder Transfer Books of the headquarters. The above identity proof must be notarized.
As to the time frame, it takes 3 to 4 weeks for the registration of representative office in Taiwan.
If the business to be carried out by the branch office in Taiwan requires extra licence or permit, we can help apply for such licence or permit and our fees will be quoted upon request.
The representative office registered by the foreign company in Taiwan cannot conduct business activities the generate revenue. If an investor intends to engage in trading activities or providing services to customers, they should consider applying for the registration of limited company or branch company.
1. Services and Fees
Our service fees, together with the official filing fees, for the registration of a limited liability company in Taiwan are NTD52,000. In particular, our fees cover the following services:
(1) Registration and Related Services
(i) Preparation of registration application documents;
(ii) Application for Registration Certificate
(iii) Carving of chops
(2) Registered Office
Each company registered in Taiwan must rent a business office before submitting the registration application. Client can provide their own address in Taiwan, or if client need to use our Taiwan address as the use of company registration, our registered office service fee is NTD 54,000 per one year. Since this address needs to be registered in the Taiwan Inland Revenue Department, any company that uses our Taiwan address as the use of registration of company must entrust our company to handle the accounting and book-keeping service. Our registered address is only for business registration, it cannot be used as office by our client.
(3) Bank Account Opening
We will assist the investor to open a bank account with a bank in Taiwan for the purpose of remitting the operating funds immediately after the RO is duly registered. Please note that even you have entrusted Kaizen to assist to open the bank account. The director of the representative office still needs to go to the bank in person and the bank can verify the identity. After completing the company registration procedures, you can choose to open the bank account in Taiwan at any time. Or after completing the notarization documents, it takes about 10 working days for the government to approve the documents. After the completion, you can arrange the time to open the bank account.
(4) Application for Tax Code
Kaizen will handle the application tax registration for the Taiwan RO with the State Tax Bureau and apply for Tax Code. The registered tax code is a “Tax Identity Card”, according to the different industry categories, there are national tax code and local tax code.
If Taiwan uniform invoice is required, a Business Tax at 5% of the invoiced amount will be charged and collected.
(1) Registered office service of Taiwan Company
Each company registered in Taiwan must rent a business office before submitting the registration application. Client can provide their own address in Taiwan, or if client need to use our Taiwan address as the use of company registration, our registered office service fee is NTD 54,000 per one year. Since this address needs to be registered in the Taiwan Inland Revenue Department, any company that uses our Taiwan address as the use of registration of company must entrust our company to handle the accounting and book-keeping service, our service fee will be charged for half year in advance, NTD 24,000 up (half year).
(2) Documents Legalisation
Our service quoted in table above does not cover the legalisation of the power of attorney for appointment of local agent and manager, as required by the prevailing company laws and regulation for the purpose of registration of company in Taiwan.
(3) Translation Costs
Our service quoted in table above does not cover translation costs for translating registration related documents from English to Chinese, if required. We could arrange the translation on your behalf and the translation cost will be billed separately.
3. Time of Billing and Payment Methods
Upon receipt of your order, we will issue an invoice and send our bank information together to you through email for your settlement.
We require full payment in advance. We currently only accept Hong Kong Dollar check, cash or TT and credit card through PayPal. If pay by PayPal, an additional 5% of service fee will be charged.
4. Estimated Time Frame
It is estimated that the whole registration process would take around 3-4 weeks. The table below shows the estimated time frame for each of the steps for the registration process:

5. Required Documents and Materials
(1) Identification Documents of Investor
A set of incorporation documents (Certificate of Incorporation and Business Registration Certificate and Register of Director and Register of Members) of the investor.
(2) Minutes of meeting of shareholders’ meeting or the board of directors
The minutes of meeting or resolutions of the shareholders or the board of directors regarding to the decision for the establishment of a representative office in Taiwan. This registration package includes the services for the preparation of documents, such as minutes of meeting of the board of directors or written resolutions.
(3) Power of Attorney of the Litigious and Non-litigious Agent in Taiwan
The Power of Attorney of the litigious and non-litigious agent details the duties of the litigious and non-litigious agent in Taiwan as authorised by the foreign company. It must be notarized by the local lawyer and then notarized by the local embassy or consulate in Taiwan. The verification period is one year. This package includes the service of preparation of the power of attorney, but does not include the notarization service for the documents.
(4) Identification documents of the litigious and non-litigious agent in Taiwan
If the designated agent is a Taiwanese, shall attach a copy of the ID card of the person. If the designated agent is a foreigner, then shall attach a copy of ID card, passport or residence permit and add the residence address with personal signature and stamp.
(5) Lease agreement and related certificates
Every company registered in Taiwan must first lease the office before submitting the registration application. Client can provide their own address in Taiwan or use our Taiwan address as the use of company registration. Our address service is only for the use of company registration, but not the office purposes of your company.
(6) Lease contract, letter of consent and the latest housing tax bill
Client can provide their own address in Taiwan or use our registered office address service. If you use our service, client does not need to provide separately.
6. Certificate and Documents Obtained after Registration
After the representative office is officially registered in Taiwan, Kaizen will deliver the following documents and certificate to the client:
(1) Approval letter of registration form issued by the Taiwan Government
(2) Registration form of foreign company
(3) Approval letter for the withholding unit business
(4) Company chop and chop of the director
7. Annual Maintenance
After the representative office is officially registered in Taiwan, it is required to comply with the maintenance requirements. The fees listed in the table below represent the minimum maintenance costs that the owner of a Taiwan company should budget for and are provided as a reference only.
