Switzerland Company Registration Package

 

 

Unless otherwise stated, the company mentioned anywhere in this quotation refers to a Société à Responsabilité Limitée (SARL) or Gesellschaft mit beschränkter Haftung (GmbH), is a Private limited liability company registered in Switzerland in accordance with Switzerland company laws.

 

Summary

 

Our fees for the formation and registration of a private limited liability company in Switzerland are CHF22,000. The fees quoted include our professional registration service, provision of a Switzerland registered office address for one year, provision of a Switzerland resident director and the payment of official filing fees to the Commercial Register.

 

In order to register a company in Switzerland, clients need to provide the proposed name of the company, the amount of registered capital, identity proof, such as passport or Certificate of Incorporation, and proof of address, such as utility bill or address of registered office, of each person who will be the shareholder and director of the Malaysia company.

 

The registration of a private limited liability company in Switzerland can be completed in about 10 to 15 working days.

 

The fees quoted in this quotation apply to company registered for general business. If the business activities to be carried out by the Switzerland company requires extra licence or permit, Kaizen can help with the application for such licence and permit and our fees will be quoted upon request.

NOTES

(1)    The fees quoted exclude any ongoing administration and/or management fees. All additional fees are agreed with our clients prior to the undertaking of any assignment.

(2)    Document attesting/legalisation fees will be quoted upon confirmation of structure of the Switzerland company.

(3)    Once after the company is duly registered, it is obligated to comply with certain accounting and tax filing requirements. Our fees for these compliance services are listed in Section 6 of this quotation.

 

2.      Time of Billing and Payment Methods

 

Upon receipt of your order, we will issue an invoice to you for your settlement. We require full payment in advance. We currently only accept Hong Kong Dollar check, cash or TT and credit card through Paypal. Please click here for payment methods.

 

All our fees are due on presentation of invoice. No refunds are given once service is performed. KAIZEN reserves the right to amend its fee structure.

 

3.      Minimum Requirements for Formation of Switzerland Company

 

Requirements for formation and registration of a private company in Switzerland

  • Minimum 1 Shareholder + 1 Director
  • Shareholders may be corporations or individuals
  • The Shareholder, if individual, can also act as Director, but at least a local director us required
  • Minimum initial paid-up share capital is CHF20,000
  • A Switzerland private limited company must have a Registered Address in Switzerland

 

4.      Incorporation Process and Time Frame

 

In most the cases, the registration of a private company in Switzerland can be completed in about 4-6 weeks. The detailed registration procedures are shown in the table below:

5.      Materials Required for the Purpose of Company Registration

  • Copy of passports of ultimate beneficial owners

  • Names of persons Authorised to sign on behalf of Parent Company
  • Names and residential addresses of Directors of Parent Company
  • Copy passports and utility bills for any director holding more than 10% of issued share capital of Parent Company

  • Completed Client Questionnaire (intended purpose of Company and Business information)
  • Intended name of company
  • Type of Company (e.g. AG, GmbH , Branch office etc)
  • Amount and breakdown of Authorised and Paid in Share Capital
  • Nominee Arrangements (if nominee shareholder and/or/nominee director service is required)
  • Name and Address of person authorised to give instructions on behalf of beneficial Owners if more than one
