Taiwan Company Registration Package #TWLLCO5CNLP(China Companies) - Registration Procedures and Fees

 

This package is suitable for companies registered in the Mainland China intending to apply to register a limited liability company in Taiwan for the purpose of carrying out businesses which does not require permits and licence.

 

Unless otherwise stated, Taiwan company refer to limited liability company registered in accordance with the Taiwan Companies Act.

 

The package includes all procedures required for the purpose of registration of a limited company in Taiwan. Immediately after we hand over the registration documents to you, the company is ready to commence its business.

 

1.       Services Fees and Costs

 

Our total fees for handling the registration of a limited liability company, together with the official filing fees, are NTD116,400. A summary of fees and costs is listed in the table below:

Note:

(1)     If so requested, Kaizen can provide a street address to be used as the registered office/business address for the purpose of registration of the Taiwan company. Our fee for this service is NTD60,000 per annum.

 

(2)     Our service charge stated in table above does not cover translation costs for translating registration related documents from English to Chinese, if required. We could arrange the translation on your behalf and the translation cost will be billed separately.

 

(3)     If the intended Taiwan company is to be engaged in trading business, it is required to perform import and export registration and apply for an import and export card.

 

(4)     The fees quoted here don’t include the handling of the legalisation of the power of attorney for the appointment of the agent. Kaizen will prepare the power of attorney and client will need to arrange the legalisation.

 

2.       Taiwan Company Registration Package – Scope of Services

 

(1)     Registration and Related Services

 

(i)     Name check and reservation

(ii)    Preparation of Articles of Association of the company and other incorporation documents

(iii)   Professional & Filing Fees

(iv)   Application for Business Certificate

 

(2)     Project Approval

 

Handling the application for approval of foreign investment from the Investment Commission of the Ministry of Economic Affairs (MOEA).

 

(3)     Capital Verification

 

Once after the registered capital/investment is remitted to the bank account of the Taiwan company, Kaizen will arrange a local Taiwan accounting firm to perform capital verification and issue capital verification report.

 

(4)     Bank Account Opening

 

We will assist the investor to open a preparatory account with a bank in Taiwan for the purpose of remitting the registered capital. Then, we will assist the investor to open a formal account for the daily operation of the company after it is duly registered.

 

(5)     Legalisation of Identity Documents

 

The identity documents of the shareholder of the Taiwan company, that is, the registration documents of the Chinese company, and the Power of Attorney appointing the agent for handling the company registration, will need to be legalised by the Chinese attesting organisation and then further verified by the Straits Exchange Foundation (台灣海基會). The legalisation procedures are as follows:

(a)     The required documents first be legalised by the attesting centre in the place where the Chinese company is registered;

(b)              One set of legalised documents is returned to the applicant and another set is sent to the Straits Exchange Foundation for further verification;

(c)     After verification, the Straits Exchange Foundation issues a certificate

 

(6)     Acting as Local Agent

 

A limited company in Taiwan is required by the Law to appoint a local agent. The local agent can either be a local Taiwanese or foreigner who resides at Taiwan with valid residence permit. This package already includes a local Taiwan resident as agent for a period of one year.

 

3.      Time of Billing and Payment Methods

 

Upon receipt of your order, we will issue an invoice to you for your settlement. We require full payment in advance.

 

If Taiwan official tax invoice is required, an extra 5% of Business Tax will be charged.

 

We currently only accept Hong Kong Dollar check, cash or TT and credit card through Paypal. Detailed payment instructions will be provided upon confirmation of order.

 

4.      Estimated Time Frame

 

It is estimated that the whole registration process would take around 12-13 weeks. The table below shows the estimated time frame for each of the steps for the registration process.

Note:

(1)     The estimated time frame listed in the table above is based on the assumption of a smooth application;

(2)     The estimated time frame does not take into consideration the need for application for special permit or licence.

 

5.       Required Documents and Materials

 

The following documents and materials needed to be prepared/provided by the investor:

 

(1)     Preferred name of company

 

We suggest that client create at least 2 to 3 preferred company name in Chinese and we will perform name availability search all at the same time.

 

(2)     Identity Documents and Power of Attorney

 

The identity documents of the Chinese corporate shareholder and Power of Attorney (POA) need to be legalised. Identity documents includes business registration certificate and articles of association and others. Kaizen will prepare the Power of Attorney and arrange the legalisation.

 

 (3)    Identity and Address Proof of the Director(s)

 

A copy of passport and China national identity card and address proof in respect of each director of the Taiwan company;

 

(4)     Tenancy Agreement

 

A copy of the tenancy/lease agreement of the office premise to be used by the Taiwan company and a letter issued by the landlord consenting to the use of the property. If client engages Kaizen for the registered office service, then Kaizen will arrange the tenancy agreement and the consenting letter.

 

(5)     Amount of Share Capital

 

The amount of capital/investment of the proposed Taiwan company. We suggest that the amount of registered capital should be set at an amount that would support the operation of the Taiwan company for a period of 6 months.

 

(6)     Principal Business Activities

 

A brief description of the principal business activities of the Taiwan company.

 

6.       Certificate and Documents Returned after Registration

 

Once after the Taiwan company is official registered, the following documents will be returned to client:

(1)     Articles of Association

(2)     Company registration approval letter and registration form;

(3)     Business tax registration approval letter and registration form;

(4)     Common seal and stamp of the legal representative;

(5)     Uniformed tax invoice collection certificate

 

7.       Important Note

 

(1)     The Company Law in Taiwan does not impose a minimum amount of registered capital for the purpose of company registration. However, the investor is still required to state a particular amount of capital in the Article of Association of the Taiwan company and the said amount should be remitted to Taiwan at the time of company registration. In this connection, we suggest that the amount to be stated in the Article of Association should be sufficient to fund the operation of the Taiwan company for the first six months after incorporation.

(2)     If the business activity of the Taiwan company requires special permit or licence, our fees will be adjusted accordingly.
